Acquird

ACQUIRD

Client Engagement Agreement & Vehicle Buying Mandate

This Agreement is entered into between ACQUIRD (Pty) Ltd (registration number 2026/677805/07, trading as ‘Acquird’, ‘we’, ‘our’ or ‘us’; email: info@acquird.co.za) and the Client (‘the Client’).

1. Appointment

The Client appoints Acquird as their exclusive vehicle buying representative. Acquird acts solely in the interests of the Client and never on behalf of any dealership, manufacturer or finance provider.

2. Scope of Services

Acquird may clarify the Client’s requirements, budget and preferences; research the market; search for suitable vehicles; contact dealerships; negotiate on the Client’s behalf; and present suitable options. Once the Client selects an option and instructs Acquird in writing to proceed, Acquird may coordinate dealership communications and purchase administration, assist with trade-in coordination, assist with delivery coordination and provide reasonable process guidance. Acquird represents the Client, not the dealership.

3. Services Not Provided

Acquird does not provide financial, legal, tax or accounting advice, arrange finance, recommend lenders, guarantee finance approval, guarantee vehicle availability or guarantee a specific purchase price.

4. Client Approval

No vehicle purchase will proceed without the Client's written approval. Approval may be given by WhatsApp, email or another written electronic communication.

5. Authority

The Client authorises Acquird to communicate and negotiate with dealerships, obtain quotations and share only the information reasonably required to complete the transaction.

6. Professional Vehicle Sourcing Fee

The Client must pay an Initial Sourcing Fee of R2,500 before Acquird begins the initial sourcing stage. This fee covers the work involved in clarifying the Client’s requirements, researching and sourcing suitable options, contacting dealerships, undertaking initial negotiations where appropriate, and presenting available options or market feedback. The fee pays for professional time and work, not for the vehicle itself, and does not guarantee that a vehicle will be purchased or that a particular saving or price will be achieved.

If the Client selects a vehicle and instructs Acquird in writing to proceed, the applicable Deal Initiation Fee balance becomes payable before Acquird undertakes the next stage of purchase coordination. The total fee per vehicle is determined by the applicable bracket below. The R2,500 Initial Sourcing Fee is credited towards the total fee; it is not an additional fee on top of the total shown.

Vehicle price basis: for a new vehicle, the bracket is based on the manufacturer’s recommended retail price (MSRP) for the relevant model and specification. For a pre-owned vehicle, Acquird will use a reasonable market-related valuation based on available reliable valuation references and comparable listings, taking into account factors such as make, model, year, variant, mileage, condition and prevailing market prices. Acquird will tell the Client the proposed bracket and balance before the Deal Initiation Fee becomes payable.

The Initial Sourcing Fee is intended to compensate Acquird for the initial work described above and is non-refundable to the extent permitted by applicable law. This wording does not exclude or limit any cancellation, refund or other consumer rights that cannot lawfully be excluded. If a cancellation or refund right applies, any amount retained or refunded will be dealt with in accordance with applicable law and the cancellation provisions of this Agreement. Additional third-party costs are payable only if disclosed and approved by the Client in writing. Material changes to the Client’s requirements may be treated as a new search and may attract an additional fee only if the scope and fee are explained to and accepted by the Client in writing before the new work begins.

Standard fee schedule (total fee per vehicle)

For vehicles priced from R150,000 to below R300,000: total fee R3,450. Deal Initiation Fee balance after the R2,500 Initial Sourcing Fee: R950.

For vehicles priced from R1,000,000 to R1,500,000 inclusive: total fee R10,000. Deal Initiation Fee balance after the R2,500 Initial Sourcing Fee: R7,500.

For vehicles priced above R1,500,000: a custom fee will be agreed with the Client in writing before the relevant work proceeds.

7. Estimated Timeline

Before work begins, the Client will indicate their intended purchase timeline. Acquird will provide an estimated sourcing timeframe, subject to vehicle availability, dealership response times and other factors outside our control.

8. Exclusive Representation

While this mandate is active, the Client agrees not to deliberately bypass Acquird by directly negotiating or concluding a transaction with a dealership introduced by Acquird without first notifying Acquird. Any fee entitlement or remedy arising from this clause remains subject to applicable law and the cancellation, refund and consumer-rights provisions of this Agreement.

9. Vehicle Delivery

Acquird may coordinate delivery where requested. Delivery costs remain for the Client unless otherwise agreed. The Client must ensure the vehicle is insured before transport. Acquird is not liable for transport delays, damage or third-party transport providers.

10. Trade-In Assistance

Acquird may assist in obtaining and comparing trade-in offers and coordinating the process. Final trade-in values remain the responsibility of the dealership or purchaser. The Client remains responsible for presenting the vehicle for inspection and deciding whether to accept any offer.

11. Client Declaration

The Client confirms that they genuinely intend to purchase the requested vehicle and believe they have the financial means to do so, whether by cash or approved finance. The Client acknowledges that Acquird does not assess affordability, provide financial advice, arrange finance or guarantee finance approval. If finance is declined, or the Client decides not to proceed after sourcing work has been performed, the fee will be dealt with under clause 6 and applicable law, including any cancellation or refund rights that cannot lawfully be excluded.

12. Recording, Quality Assurance & Privacy

Vehicle sourcing activities, negotiations and communications may be recorded for quality assurance, evidence and record-keeping purposes. Vehicle-related content may be used for marketing or social media, provided no personal information identifying the Client is disclosed. Personal information will be processed in accordance with POPIA.

13. Limitation of Liability

Acquird is not the seller of the vehicle and does not provide mechanical inspections, warranties, finance, insurance or legal advice unless expressly agreed in writing and lawfully permitted. Acquird is not responsible for the independent acts or omissions of dealerships, lenders, inspectors or transport providers, or for vehicle defects not caused by Acquird’s own conduct. Nothing in this Agreement excludes or limits liability, remedies or consumer rights that cannot lawfully be excluded or limited, including liability arising from fraud, wilful misconduct or gross negligence where exclusion is prohibited.

14. Governing Law

This Agreement is governed by the laws of the Republic of South Africa. If any provision is found unenforceable, the remaining provisions remain in force.

15. Acceptance
